A well-drafted contract prevents most disputes before they arise; a poorly drafted one guarantees them. The Firm’s practice covers both ends of this — drafting and vetting agreements before they are signed, and representing clients in disputes when a contract is not honoured.
Contracts drafted or vetted at the Firm are shaped by litigation experience — an understanding of which clauses actually get contested, which language tends to be argued over in court, and where boilerplate terms quietly fail to protect a client when a dispute genuinely arises. That perspective is applied as much to the drafting table as to the courtroom.
Facets of Contracts Practice
- Contract Drafting — commercial agreements, service and consultancy agreements, non-disclosure agreements, memoranda of understanding, lease and licence deeds, and partnership and franchise agreements
- Contract Vetting & Review — reviewing agreements drafted by a counterparty, identifying ambiguity, unfavourable terms, and enforceability risk before a client signs
- Breach of Contract Disputes — suits for damages, specific performance, and injunctive relief arising from breach of contractual obligations
- Termination & Exit Disputes — advising on and litigating disputes arising from termination of contracts, including notice period, exit clause, and indemnity disputes
Contractual disputes are litigated before the civil courts, the Delhi High Court (for cases involving Rs 20 million or more valuation) or, where the contract itself provides for it, resolved through arbitration.
